(collectively referred to herein as "Loveclients") provided by Loveclients.com.

8. Payment and Refunds Policy

8.1 If you are dissatisfied with the service provided at any time you may cancel your service contract. It's part of our no-risk customer guarantee.

8.2 In the event that your service contract is canceled, service will be delivered for the current month, though you will not be charged for the month thereafter. When taking advantage of our up front discounts, with an up front payment of service in advance, we have a strict No Refund policy. If you have any questions or concerns please feel free to contact our Internet Customer Service Department by initiating a Live Chat from anywhere within the Loveclients website.

8.3 Completion and submission of any Loveclients registration authorizes Loveclients.com to charge the credit card specified in your registration for all such fees corresponding to the selected Loveclients service. Unless stated otherwise on Loveclients.com's web pages applicable to a given Loveclients service, each Loveclients service will be provided and will automatically renew, monthly, quarterly, sem-annualy or yearly, depending upon the term selected by you when you signed up for the Loveclients services), until cancelled in accordance with this section. Your credit card will be charged in advance for the following applicable term's service. In order to avoid the full fee for any new subscription period, you must cancel the Loveclients service BEFORE the new period begins. You agree to pay all account charges for paid search services in advance by a valid credit card acceptable to Loveclients.com and expressly authorize Loveclients.com or the applicable paid search engine to charge your credit card for any and all applicable account charges associated with your account whether these charges are the result of Loveclients.com's actions, by Loveclients.com on your behalf or by you. You agree to pay and be solely responsible and liable for all charges associated with any of the paid search engines or any other third party accounts, including, without limitation accounts with the paid search engines, whether opened directly by you or opened by Loveclients.com on your behalf, arising out of your use or access of the services or otherwise. Neither Loveclients.com shall not have any responsibility or liability for any such charges, costs or liabilities. You will not make any claim to any paid search engine that you will not pay the charges to your account with the particular paid search engine as a result of the actions of Loveclients.com for any other reason. Any failure to pay the amounts due under these Terms of Use will be a material breach of your obligations under these Terms of Use. Without limiting any other remedies available to Loveclients.com, YOU AGREE TO FULLY REIMBURSE Loveclients.com FOR ANY COSTS AND EXPENSES THAT Loveclients.com MAY INCUR IN CONNECTION WITH COLLECTING OR ATTEMPTING TO COLLECT ANY SUCH UNPAID AMOUNTS. At any time after activation of a Loveclients service, either you or Loveclients.com may cancel such service (or Loveclients.com may discontinue such service completely) by providing written notice to the other party, in which case the relevant Loveclients service will terminate on the date specified in the cancellation notice. If no date is specified, the Service will terminate at the end of the then-current billing period. Loveclients.com also reserves the right to cancel any individual Loveclients service immediately and without notice in the event that you breach any provision of these Terms of Use or any other terms that apply to the Loveclients services. For accounts with the paid search engines or any other third party accounts opened directly by you or by Loveclients.com on your behalf, you will need to contact such paid search engines directly yourself in order to cancel or terminate your particular paid search account with the appropriate paid search engine. NO REFUNDS WILL BE AVAILABLE ON ACCOUNT OF ANY SERVICE CANCELLATION BY EITHER PARTY, EXCEPT AS EXPRESSLY PROVIDED BELOW Without limiting any of the restrictions above, you acknowledge and agree that NO REFUNDS OR PARTIAL REFUNDS WILL BE ISSUED: (a) FOR ANY SERVICE THAT YOU CANCEL AFTER RENEWAL HAS TAKEN PLACE. (b) Loveclients.com shall not give any refunds for unspent money amounts that may be in any or all of the paid search engines accounts upon cancellation.

9. Indemity

9.1 You agree to defend, indemnify, and hold harmless LoveClients.com, their officers, directors, employees, agents, and partners, from and against any third-party claims, actions, demands, liabilities, expenses, and costs, including without limitation reasonable legal and accounting fees, arising from or related to your use of the Loveclients website and services, your violation of these Terms of Use, or your violation of any laws, regulations, or third-party rights.

10. Limitation of Liability

10.1 If you do not agree with our Terms of Use or if you are not satisfied with our web site or any of the Loveclients services, your sole remedy is to discontinue your use of the web site and services. LOVECLIENTS.COM WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT , INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND OR NATURE INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OR DAMAGE OF DATA, AND DAMAGE TO BUSINESS REPUTATION, UNDER ANY THEORY OF LAW OR EQUITY, RELATING TO OR ARISING OUT OF YOUR USE, MISUSE, CHANGES TO, INACCESSIBILITY OR INABILITY TO USE THE LOVECLIENTS WEB SITE OR SERVICES, THE LOVECLIENTS SOFTWARE, ANY DATA, OR PAID SEARCH ENGINE WEB SITE OR INTERFACE; OR THE UNAUTHORIZED ACCESS TO, FAILURE, DELAY OR ALTERATION OF ANY DATA OR TRANSMISSION; ANY DATA STORED, SENT OR RECEIVED OR NOT STORED,SENT OR RECEIVED; ANY AGREEMENT OR TRANSACTION ENTERED INTO AS A RESULT OF YOUR USE OF THE LOVECLIENTS WEB SITES OR SERVICES OR THROUGH THE LOVECLIENTS WEB SITES AND SERVICES; ANY DATA FROM A THIRD PERSON ACCESSED ON OR THROUGH THE WEB SITES OR SERVICES WHETHER YOUR CLAIM MIGHT BE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LOVECLIENTS.COM HAS BEEN ADVISED OF THE POSSIBILTY OF SUCH DAMAGE. IN NO EVENT SHALL LOVECLIENTS.COM'S MAXIMUM AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES, BUT IN NO EVENT GREATER THAN FIVE HUNDRED DOLLARS ($500.00). BECAUSE SOME TERRETORIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH TERRITORIES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOUR ACCEPTANCE OF THIS LIMITATION OF LIABILITY IS AN EXPRESS PRECONDITION TO YOUR USE OF THE LOVECLIENTS WEB SITES AND SERVICES. Without limiting the foregoing, Loveclients.com is not responsible for any of your data residing on their hardware. You are responsible for backing-up your data and information that may reside on Loveclients.com's hardware, whether or not such information is produced through the use of the Loveclients web site or services.

11. Use of Services/Website

11.1 Loveclients.com will provide you with the Loveclients services for which you register, subject to the terms and conditions of these Terms of Use. You acknowledge that the Loveclients services may be offered in various separately priced service levels or packages ("Packages"), and you will only receive the Packages that you have registered for, and for which you are paying all associated fees. Loveclients.com reserves the right to modify, alter, change, suspend, remove, enhance, supplement, disable access to, terminate or discontinue all or any portion of the Loveclients web site and/or services at any time in its sole discretion for any reason, without notice, cost or liability, provided that those modifications do not materially and adversely affect your rights or obligations under these Terms of Use. Loveclients.com will not be liable to you or any third party as a result of such modification or discontinuation of the Loveclients web site or services. The provisions of these Terms of Use will survive any termination of the Loveclients web site or services provided pursuant to these Terms of Use. You agree that from time to time the Loveclients web site and/or services may be inaccessible, unavailable or inoperable for any reason without notice, cost or liability. You agree that Loveclients.com is not responsible for the functionality of the paid search services and that while Loveclients.com may submit changes to the paid search engines on your behalf, Loveclients.com cannot guarantee that the paid search engines will make those changes correctly or in a timely manner or that they will make the changes at all. You agree that Loveclients.com may place limitations and restrictions on the access and/or use of the paid search services including, but not limited to, the access of the service and the number of changes that may be made within the service. The limitations and restrictions may change without notice. You agree to be solely responsible for any authorized or unauthorized access to your account by any person, including, without limitation, any charges to your account by Loveclients.com and/or directly with any cost per click or paid inclusion search engines. If any unauthorized access occurs then you agree that you must notify Loveclients.com via phone and email immediately, and Loveclients.com will suspend the account until a new password is in place.

12. SEO & PPC Services

12.1 Loveclients will provide Client with Search Engine Optimization & Pay Per Click Managmeent Services (hereinafter referred to as “SEO”) as described in this Terms of USe. Loveclients will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client's websit.

12.2 The total fee for the SEO services to be provided is based on the ordered package. All fees must be paid in full prior to the start of each campaign interval.

12.3 Loveclients's SEO services are intended to serve two main purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site.

12.4 Loveclients's SEO Services will include (but are not limited to):

• Researching keywords and phrases to select appropriate, relevant search terms.
• Obtaining “back links” from other related websites and directories in order to generate link popularity and traffic..
• Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary (up to 20 pages).
• Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes.
• Recommend, as required, additional web pages or content for the purpose of “targeting” keyword/phrase searches.
• Create traffic and ranking reports for Clients website and any associated pages showing rankings in the major search engines.

12.5 For the purposes of receiving professional SEO services, Client agrees to provide the following:

• Administrative/backend access to the website for analysis of content and structure.
• Permission to make changes for the purpose of optimization, and to communicate directly with any third parties, e.g., your web designer, if necessary.
• Unlimited access to existing website traffic statistics for analysis and tracking purposes.
• Authorization to use client pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by Loveclients for search engine optimization purposes.
• If Client’s site is lacking in textual content, Client will either provide additional text content in electronic format for the purpose of creating additional or richer web pages or approve content produced by Loveclients staff.

12.5 Client must acknowledge the following with respect to SEO services:

• All fees are non-refundable.
• All fees, services, documents, recommendations, and reports are confidential.
• Loveclients has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
• Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Loveclients does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
• Search Engines have been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for an unspecified amount of time. This is referred to as the “Google Sandbox.” Loveclients assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
• Occasionally, search engines will drop listings for no apparent or predictable reason.
• Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees. Loveclients can offer a list of expedited listing services upon request.
• Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Loveclients does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.

12.6 Loveclients is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.

12.7 The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Loveclients for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Loveclients and its subcontractors from any liability or suit arising from the use of such elements.

12.8 Loveclients is not responsible for the Client overwriting SEO work to the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized).

12.9 The Client understands that the advertised prices are service fees only and do not include the purchase of sponsored listings. Any amount of money that you wish to go towards sponsored listings purchases must be paid over and above the service fee advertised. It is completely up to the client how much you wish to budget in sponsored listing purchases each interval.

12.10 By hiring Loveclients to manage Paid Search Campaigns, you agree that if at anytime a search engine ceases to offer sponsored listings or, if at anytime for any reason, a search engine refuses service to the company which you represent or refuses to provide a sponsored listing to the Client's company that Loveclients will not be held responsible. You also agree that such a refusal of service to this company by a search engine may also be grounds for termination of this agreement with Loveclients.

12.11 By hiring Loveclients to manage Paid Search Campaigns, you indicate that you have read and understood the Terms of Services for each search engine that you wish to advertise on.
